Terms of Service

Please read these Terms of Service carefully before using Melo. They govern your access to and use of the platform operated by CB Link Ltd.

1. Acceptance of Terms

By accessing or using the Melo platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using Melo on behalf of a business, you represent that you have the authority to bind that business to these Terms.

If you do not agree to these Terms, do not use Melo.

2. About Melo

Melo is a cloud-based business management platform operated by CB Link Ltd, a company registered in Rwanda. The platform provides tools for branch management, stock control, payment workflows, employee management, and business reporting.

3. Eligibility

To use Melo, you must:

• Be at least 18 years of age • Be legally authorized to operate a business in your jurisdiction • Provide accurate and complete information when creating an account • Maintain the security of your account credentials

Melo is designed for business use only. Personal, non-commercial use is not permitted under these Terms.

4. Subscriptions and Billing

Melo is offered on a subscription basis. By subscribing to a plan, you agree to the following:

• Fees: Subscription fees are charged in Rwandan Francs (RWF) as stated on our pricing page at the time of purchase. • Billing cycle: You may choose monthly, quarterly, semi-annual, or annual billing. Longer cycles may include built-in discounts. • Renewal: Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date. • Changes: You may upgrade or downgrade your plan at any time. Changes take effect immediately and billing is adjusted on a pro-rata basis. • Non-payment: If payment fails, we will attempt to collect it for a grace period of 7 days. After that, access to the Service may be suspended until payment is settled.

5. Cancellation and Refunds

You may cancel your subscription at any time from your Melo workspace settings. Upon cancellation:

• Your access remains active until the end of the current billing period. • No partial refunds are issued for unused days in the current period. • Exception: If you cancel within 7 days of your first subscription purchase and have not made significant use of the Service, you may request a full refund by emailing info@cblink.rw.

CB Link Ltd reserves the right to terminate accounts that violate these Terms without a refund.

6. Acceptable Use

You agree not to use Melo to:

• Violate any applicable Rwandan law or regulation • Submit false, misleading, or fraudulent business data • Attempt to gain unauthorized access to any part of the platform or another user's account • Upload malware, viruses, or any malicious code • Reverse-engineer, decompile, or copy any part of the platform • Resell or sublicense access to Melo without our written permission • Interfere with the platform's availability or performance

We reserve the right to suspend or terminate accounts that violate this policy without prior notice.

7. Your Data

You retain ownership of all business data you input into Melo (invoices, stock records, employee data, transactions, etc.). By using the Service, you grant CB Link Ltd a limited license to process and store that data solely to provide and improve the Service.

We will not sell your data or use it for purposes beyond operating Melo. For full details on how we handle your data, see our Privacy Policy at melo.rw/privacy.

8. Intellectual Property

All software, design, content, trademarks, and logos associated with Melo are the property of CB Link Ltd and are protected by applicable intellectual property laws.

You may not copy, modify, distribute, or create derivative works based on any part of Melo without our prior written consent. The Melo name, logo, and product names are trademarks of CB Link Ltd.

9. Uptime and Service Availability

We aim for high availability but do not guarantee uninterrupted access to Melo. Planned maintenance windows will be communicated in advance where possible. CB Link Ltd is not liable for losses resulting from downtime, data delays, or service interruptions beyond our control (e.g. third-party infrastructure failures, internet outages).

10. Limitation of Liability

To the maximum extent permitted by applicable law, CB Link Ltd shall not be liable for:

• Loss of revenue, profits, or business opportunities • Loss or corruption of data • Indirect, incidental, or consequential damages of any kind

Our total liability for any claim arising under these Terms shall not exceed the amount you paid to CB Link Ltd in the 3 months preceding the claim.

11. Disclaimer of Warranties

Melo is provided "as is" and "as available." CB Link Ltd makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the platform will be error-free, that defects will be corrected, or that the platform is free of harmful components.

12. Third-Party Services

Melo integrates with third-party services (e.g. payment processors, cloud infrastructure providers). These services are governed by their own terms and privacy policies. CB Link Ltd is not responsible for the practices or content of third-party services.

13. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Rwanda. Any dispute arising from or relating to these Terms shall be submitted to the competent courts of Rwanda.

Before initiating any legal proceeding, you agree to contact us at info@cblink.rw to attempt to resolve the dispute informally. We will make reasonable efforts to resolve any disagreement within 30 days.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date below and notify you by email or in-app notice for material changes. Continued use of Melo after updated Terms take effect constitutes your acceptance of the new Terms.
